Territorial Scope: European Union (EU), European Economic Area (EEA), EFTA Member States, and Global Export Destinations
1. General Provisions & Scope of Agreement
Applicability: These Purchase Terms & Conditions (“Terms”) govern all commercial purchases, bulk quotes, and consumer orders placed on Europe Solar Market (
europesolarmarket.com), operated as a specialized e-commerce distributor and marketplace for solar photovoltaic (PV) modules, inverters, battery energy storage systems (BESS), EV chargers, and balance-of-system (BOS) hardware.Customer Classification:
B2B Buyers (Commercial): Registered businesses, Engineering, Procurement, and Construction (EPC) contractors, licensed electrical installers, and wholesale distributors.
B2C Buyers (Consumers): Individual retail buyers purchasing hardware for personal or non-commercial property use.
Acceptance: By placing an order, submitting a Requests for Quotation (RFQ), or confirming a purchase on Europe Solar Market, you agree to be bound by these Terms, along with our Legal Warning, Privacy Policy, and Cookie Policy.
2. Order Process, Quotes & Contract Formation
Order Submission: Orders placed online constitute a binding offer by the Buyer to purchase the selected products under these Terms.
Order Confirmation: A contract is formed only when Europe Solar Market issues an official Order Confirmation email or Proforma Invoice with a unique order tracking number.
Quotes & Custom RFQs: B2B volume pricing and custom freight estimates provided via RFQ are valid for 7 calendar days from issuance due to fluctuating raw material, shipping, and market exchange rates, unless explicitly stated otherwise in writing.
Order Modifications & Cancellations:
Standard Orders: May be canceled or modified prior to dispatch by contacting
orders@europesolarmarket.com.Dispatched / Custom Freight Orders: Once hardware has been loaded for freight transit, standard cancellation fees and return logistics charges apply.
3. Pricing, VAT & Cross-Border B2B Tax Rules
Listed Prices: All prices displayed on Europe Solar Market are in Euros (€) unless toggled otherwise, and are listed exclusive of VAT and freight/shipping charges by default for B2B accounts.
EU B2B Intra-Community VAT (Reverse Charge):
Registered EU commercial buyers claiming zero-rated intra-Community VAT under EU Directive 2006/112/EC must provide a valid, active VIES VAT registration number at checkout.
Europe Solar Market validates all VIES entries against European Commission databases. If a VAT number is invalid or unverified, statutory VAT of the dispatch/destination country will be applied prior to order processing.
B2C Consumer VAT: Consumer orders (B2C) within the EU will automatically include the statutory VAT rate applicable in the destination EU Member State under EU e-commerce One Stop Shop (OSS) regulations.
Import Duties & Non-EU Customs: For orders delivered outside the EU tax territory (e.g., Switzerland, Norway, UK), Europe Solar Market handles export manifests, but the Buyer (Importer of Record) remains responsible for all local import customs duties, clearance fees, and national administrative taxes upon arrival.
4. Payment Terms & Methods
Accepted Payment Methods: Europe Solar Market accepts major credit/debit cards (Visa, Mastercard), SEPA Bank Wire Transfers, Commercial Trade Credit (upon credit approval for verified B2B accounts), and authorized digital payment gateways (e.g., Stripe, PayPal, Klarna).
SEPA / Wire Transfer Orders: Orders paid via SEPA transfer must settle in full within 5 business days of Proforma Invoice issuance to hold warehouse allocation.
Title Retention: Title and legal ownership of all hardware remain with Europe Solar Market until full payment—including freight costs and applicable taxes—has cleared.
5. Fulfillment, Freight Delivery & Dangerous Goods (ADR)
Logistics Management: Europe Solar Market handles direct order processing, pallet packing, freight coordination, and dispatch to the specified job site or warehouse address.
Delivery Timelines: Estimated lead times provided at checkout are indicative. Freight schedules may be affected by regional road restrictions, customs clearance, or hazardous transport requirements.
Dangerous Goods & Hazardous Shipping (UN 38.3):
Lithium-ion and LiFePO4 battery shipments strictly adhere to UN 38.3 transport standards and ADR European dangerous goods road transport agreements.
Deliveries are executed via certified hazardous goods freight carriers equipped with tail lifts and specialized handling gear.
Mandatory Delivery Inspection & Claims:
Immediate Visual Inspection: The Buyer or site manager must inspect pallet conditions, crating, and packaging upon arrival before signing the carrier’s Bill of Lading / Consignment Note (CMR).
Recording Transit Damage: Any visible damage to solar module glass, battery crates, or protective shrink wrapping must be explicitly noted on the CMR document and photographed immediately.
Reporting Deadline: All claims for shipping damage, missing pallets, or incorrect line items must be reported to
shipping@europesolarmarket.comwithin 48 hours of physical receipt. Failure to note damage on the CMR may compromise transit insurance claims.
6. Technical Installation, Grid Compliance & Safety Warning
Certified Field Personnel Requirement: High-voltage DC solar arrays, string/hybrid inverters, and high-energy LiFePO4 battery storage units ordered from Europe Solar Market must be installed, wired, and commissioned exclusively by certified electrical contractors or accredited solar technicians licensed in the destination country.
Uncertified Self-Installation: DIY or uncertified self-installation of high-voltage equipment is prohibited. Europe Solar Market assumes no liability for damages, injuries, or warranty invalidation arising from uncertified handling or incorrect wiring.
Grid Code Compliance:
Inverters and grid-tie balance-of-system hardware must meet national grid code requirements (e.g., VDE-AR-N 4105 in Germany, Enedis NOI-RES 13E in France, UNE 217001 in Spain, CEI 0-21 in Italy) prior to utility connection.
The Buyer is solely responsible for confirming that selected hardware holds the required grid certificates for the intended country of operation prior to completing an order.
7. Warranties, Returns & Statutory Consumer Rights
Manufacturer Factory Warranties:
All hardware sold by Europe Solar Market carries original manufacturer warranties (e.g., 12–25 year linear output warranties on PV modules; 5–10 year warranties on inverters and BESS units).
Europe Solar Market assists registered buyers in facilitating manufacturer warranty claims, component replacements, and RMA processing.
B2C Consumer Right of Withdrawal:
In accordance with EU Consumer Rights Directive (2011/83/EU), non-commercial retail consumers (B2C) have the right to withdraw from a purchase within 14 calendar days of receiving the goods without giving a reason.
Returned products must be unused, uninstalled, in original factory packaging, and secured on original freight pallets. The consumer bears the direct cost of return freight shipping for bulk hardware.
B2B Order Returns: B2B commercial purchases are final. Stock returns or commercial order cancellations post-dispatch are subject to Europe Solar Market approval and a standard 15% restocking fee plus return freight costs.
8. Limitation of Liability & Force Majeure
Limitation of Liability: To the maximum extent permitted by applicable EU law, Europe Solar Market’s maximum aggregate liability arising from any order is limited to the purchase price paid for the specific item(s) giving rise to the claim.
Exclusion of Consequential Losses: Europe Solar Market shall not be liable for indirect damages, lost business revenues, delayed FIT (Feed-in Tariff) grid connections, labor costs, or project downtime resulting from hardware delays or component failure.
Force Majeure: Europe Solar Market is not liable for fulfillment delays or non-performance caused by events beyond reasonable control, including extreme weather events, international shipping disruptions, border closures, raw material embargoes, or regional energy grid emergencies.
9. Governing Law & Dispute Resolution
Governing Law: These Terms and all contracts formed through Europe Solar Market are governed by and construed in accordance with the laws of the country where Europe Solar Market B.V. / entity is legally incorporated, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
B2B Commercial Jurisdiction: For all disputes arising from commercial B2B transactions, exclusive jurisdiction rests with the competent courts of the legal seat of Europe Solar Market.
EU Online Dispute Resolution (B2C Consumers): Retail consumers within the EU may access the European Commission’s Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr.
